Welcome to Semora ("we", "our", "us") — a WhatsApp-based SaaS platform that helps small and medium businesses manage customer communication, broadcasts, and sales via WhatsApp Business tools.
By signing up, accessing, or using Semora, you ("you", "User", or "Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use Semora.
1. Early Access Disclaimer
Semora is currently in an early access phase. This means:
- Features are subject to change, modification, or removal without prior notice.
- Access to certain features may be limited, unavailable, or modified based on evolving product direction and technical feasibility.
- Performance, uptime, and support may not reflect production-grade expectations during this stage.
We appreciate your understanding and participation as we improve Semora.
2. WhatsApp Business Integration
- Semora uses the official WhatsApp Business API or tools and is not directly affiliated with WhatsApp Inc. or Meta Platforms, Inc.
- Your use of Semora must comply with WhatsApp's own policies and guidelines.
- We do not guarantee account approval, green tick verification, or delivery rates — as these are governed by WhatsApp's internal systems.
3. Account & Access
- You must be at least 18 years old and authorized to act on behalf of the business you represent.
- You are responsible for maintaining the security of your Semora account.
- Semora reserves the right to suspend or terminate your access if we detect misuse, abuse, or violation of these Terms.
4. Acceptable Use
You agree not to use Semora to:
- Send spam, unsolicited messages, or promotions in violation of WhatsApp's or local laws.
- Send abusive, illegal, or harmful content.
- Circumvent WhatsApp limitations or policies.
- Interfere with the platform's functionality or security.
5. Changes to the Platform
We may:
- Add, change, or remove features at any time.
- Update pricing, limits, or terms, with notice.
- Discontinue parts of the platform temporarily or permanently.
You acknowledge that your continued use after such changes constitutes acceptance.
6. Data & Privacy
- You retain ownership of your business data.
- By using Semora, you grant us permission to store, process, and analyze the data you input for the purpose of providing the service.
- We will never sell your data to third parties.

7. Intellectual Property
- Semora, its logo, software, content, and branding are our intellectual property.
- You may not copy, modify, reverse engineer, or distribute our platform or assets without written permission.
8. Feedback
Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.
9. Payment & Refunds
- If your plan includes a fee, payment terms will be shared separately and must be honored for continued access.
- Refunds, if any, are at our sole discretion.
10. Termination
You may cancel your account at any time. We may suspend or terminate your access if:
- You breach these Terms.
- You engage in fraudulent or harmful activity.
- Required payments are not made.
11. Limitation of Liability
To the fullest extent permitted by law:
- Semora is provided "as is" without warranties of any kind.
- We are not liable for loss of profits, data, business, or indirect damages.
- Our total liability under these Terms shall not exceed the amount paid by you (if any) in the last 3 months.
12. Indemnity
You agree to indemnify and hold harmless Semora and its affiliates from any claims, damages, or losses arising out of your use of the platform, breach of these Terms, or violation of third-party rights.
13. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
